Snow Lake Lithium Wins Court Case and Shareholders’ Meeting Set for December 15, 2022

August 8, 2022 – Snow Lake Resources Ltd., d/b/a Snow Lake Lithium (Nasdaq: LITM) (“Snow Lake” or the “Company”) is pleased to inform its shareholders of the following developments:

The Company appeared in the Court of Queen’s Bench (Manitoba) on July 28, 2022 to have it declared void and set aside. The Company’s bid was successful in all respects. Pursuant to a court order dated August 5, 2022, the special meeting called by the affected shareholders is invalid, as are any matters dealt with at such meeting if such a meeting were called. In addition, the Court ordered that the special meeting of shareholders of the Company convened by the Board for December 15, 2022 has been validly convened in accordance with the relevant provisions of The Corporations Act (Manitoba), being the law applicable to the conduct and corporate governance of the Corporation. Consequently, any document received from the shareholders concerned in connection with the meeting of August 10e invalidly convened meeting should be ignored.

The Court’s decision is consistent with the position the Company has taken since the dissident group led by the affected shareholders announced its intention to hold its own shareholders’ meeting in the face of the Company’s decision to call an annual general meeting and a special meeting. meeting for December 15, 2022. Shareholders will receive formal notice of such meeting in due course together with an information circular setting out precisely the business to be transacted. Currently, no shareholder needs to act.
